Market Your Business

A professionally prepared business information package is vital to the process of marketing your business. A buyer will expect to see certain information in advance of the actual visit to the business site. We provide a “Confidential Memorandum” that professionally presents the historical and current information about the business.

There are six sections to the Memorandum. They are:

• Notification: Explains the purpose and intent of the Confidential Memorandum, where the information was obtained, and some general disclosures about the information included.
• Notice of Confidentiality: Explains what the document represents, states that it is not to be copied, and the seriousness and importance of confidentiality.
• Executive Summary: A summary statement of the business designed to attract the buyer’s interest in buying the business.
• Business Overview: Provides detailed information about the business. Provides an overview of the industry trends, issues, and typical operating ratios. Includes any advertising brochures or marketing campaigns used by the business.
• Financial Overview: Recasts the financial statements to reflect the true “Seller’s Discretionary Income”. It also discusses the potential financing arrangements and justification of the purchase price. It may include additional information such as actual financial statements, tax returns, equipment lists, inventory valuations, accounts receivable analysis, and other documents that lend credence to the value of the business.
• Valuation Summary: Optionally includes the actual Market Value Analysis prepared by a third party

Good packaging of the information is essential to the success of the marketing of the business. Buyers must feel comfortable with the information provided. Once the buyer has reviewed the information in the Memorandum it is possible for the buyer to make an informed decision. The next step will be to schedule a meeting with the seller.
